1. Introduction and Scope

Welcome to GridStream (the "Site"), accessible at gridstream.shop. These Terms of Service ("Terms") govern your use of the Site and your purchase of products from GridStream. By accessing or using the Site, or by placing an order, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Site or place an order.

GridStream is an independent multi-brand specialist storefront that curates power supply equipment from Baseus and Goal Zero. The Site is operated by BrightPath Commerce Group LLC, a limited liability company registered in the United States (the "Operating Entity"). BrightPath Commerce Group LLC manages, fulfills, and supports the GridStream storefront, including day-to-day e-commerce operations, customer service, product sourcing and quality procedures, order fulfillment and logistics, and regulatory compliance.

GridStream is an independent store. We are not the official Baseus or Goal Zero brand website, and we do not claim to be an official representative of either brand. All product names, logos, and brands are property of their respective owners, and their use here is for identification purposes only.

2. Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to make a purchase from GridStream. By placing an order, you represent that you are legally capable of entering into binding contracts. You may browse the Site without creating an account, but placing an order may require you to provide certain personal information including your name, shipping address, billing address, email address, and payment details.

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.

3. Catalog Information and Product Descriptions

We strive to display accurate product information, including descriptions, specifications, and images. Each product page is manually reviewed by our merchandising team, and descriptions, specifications, and images must reconcile with the manufacturer's official documentation. However, we do not warrant that product descriptions or other content on the Site are completely error-free, complete, or current. If a product offered by GridStream is not as described, your sole remedy is to return it in accordance with our Return Policy below.

The Site may contain references to third-party products, services, or brands. These are provided for your convenience and do not constitute an endorsement by us. We are not responsible for the content or accuracy of any third-party information that may appear on our Site.

4. Pricing and Promotions

All prices are listed in U.S. Dollars (USD) and are subject to change without notice. Prices can vary by product, promotion, and time. Variations reflect differences in wholesale costs, demand patterns, currency adjustments, and the specific incentive programs provided to us by manufacturers or distributors. They do not correspond to any change in the product itself. The price you pay is the price displayed at the time you place your order (subject to any applicable promotions or discounts).

GridStream uses a curated third-party store operating model: we purchase finished goods through authorized wholesale channels and hold inventory in small, predictable batches. We sell exclusively through our own online storefront, which allows us to control merchandising and pricing without the constraints of a multi-vendor marketplace. Our promotions and discount codes are funded from a combination of supplier incentive programs, protected margins on featured products, and operational savings reinvested into customer acquisition. They are never achieved by reducing product quality or authenticity.

We may offer promotional codes or discounts from time to time. For example, we may offer a promotion such as "GRID15" which provides 15% off eligible items when applied at checkout. Coupon eligibility follows checkout rules, and only items that meet the stated eligibility criteria will receive the discount. Promotional codes cannot be applied retroactively to completed orders unless required by law. We reserve the right to modify, suspend, or discontinue any promotion at any time without notice.

5. Orders and Payment

When you place an order, you are making an offer to purchase products from us. We reserve the right to accept or decline any order for any reason, including but not limited to product availability, errors in the description or price, or issues identified by our fraud prevention processes. We will confirm acceptance of your order by sending an email confirmation to the address you provide.

We accept the following payment methods: credit card and PayPal. You agree to provide current, complete, and accurate purchase and account information for all purchases made on our Site. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

Payment is processed at the time of order. All payments are subject to verification and authorization by the payment processor. If a payment is declined, we will attempt to notify you and may cancel your order if payment cannot be completed.

6. Shipping and Delivery

We offer the following shipping options for orders placed on GridStream:

• Standard shipping: $8.00 per order.
• Free shipping: Available on all orders over $45.00. Free shipping is automatically applied at checkout when your order subtotal meets the $45.00 threshold.

No other shipping fees or thresholds apply. We do not offer expedited or express shipping options at this time.

We aim to process and dispatch orders promptly. Delivery times may vary depending on your location and the shipping carrier. We are not responsible for delays caused by carriers, customs, or events outside our reasonable control. Risk of loss passes to you upon delivery to the carrier. Title to the products passes to you upon delivery, subject to our receipt of payment.

7. Returns and Refunds

We stand behind the products we sell. Returns are accepted within 30 days of delivery. This 30-day window is fixed and applies to all eligible products. To initiate a return, please contact our customer support team at support@gridstream.shop with your order number and the reason for return. We will provide instructions on how to return the item.

To be eligible for a return, products must be in their original condition, with all tags, packaging, and accessories included. We will not accept returns of products that show signs of misuse, damage caused by the customer, or missing components. Upon receipt and inspection of the returned item, we will process your refund. Refunds will be issued to the original payment method. We will notify you of the status of your refund once your return is processed.

If you receive a defective, damaged, or incorrect product, please contact us within the 30-day return window, and we will arrange for a replacement or refund as appropriate. Nothing in this policy affects your statutory rights under applicable consumer protection laws.

8. Warranty

Warranty terms vary by product and are detailed on the individual product page. The warranty for each product is provided by the manufacturer or brand, and GridStream does not offer additional warranties beyond those described on the product page unless expressly stated otherwise. If you experience a warranty issue, please contact our support team, and we will assist you in claiming the applicable manufacturer warranty.

Our authenticity commitment is described in Section 10 below and applies to every order regardless of warranty terms.

9. Authenticity and Quality Commitment

We warrant that every product sold under the GridStream storefront is 100% genuine and sourced from lawful supply chains. This commitment applies to every order, regardless of discount or promotion. Our pricing and promotional strategies are described above, and we reiterate that a lower price point never means a lower grade or older model—it simply reflects the commercial conditions of that specific transaction.

Our sourcing standards require that all products are procured from authorized distributors or directly from the manufacturer's approved channels for the respective brand. We require valid invoices and batch traceability for every order placed with the store. We perform spot checks on received inventory for physical condition, packaging intactness, and serial number registration. We also monitor customer return reasons and route any pattern of defects to our quality department.

If You Have an Authenticity Concern

If you believe a product you received from GridStream is not authentic, please contact us at support@gridstream.shop (or legal_privacy@gridstream.shop for formal complaints). To help us investigate, please include:

• A clear description of the suspected issue
• Photos of the product and its packaging
• The serial number or batch code, if available

Our review process is as follows:

• Every claim is logged in our quality system and assigned a ticket.
• Our quality assurance team reviews the documentation and compares it with purchase records.
• If necessary, we consult with the brand or distributor before issuing a determination.
• We communicate the outcome and next steps within the timeframe specified in our response commitments below.

If we confirm that a product is not authentic, we will provide a full refund including shipping costs and, where applicable, reimburse necessary return shipping. We will also cooperate with the brand to trace the source and correct the gap. We are committed to resolving all authenticity complaints with transparency and fairness, and we make it right without requiring a prolonged dispute process.

We encourage you to verify the product's outer packaging for authenticity seals and to test the item's functionality within the 30-day return window defined in our return policy.

10. Intellectual Property

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by GridStream, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

All product names, logos, and brands mentioned on the Site are the property of their respective owners. GridStream's use of such marks is for identification purposes only and does not imply any affiliation with or endorsement by the respective brand owners. Nothing on this Site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark or copyright displayed on this Site without the prior written permission of the respective owner.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as necessary for your personal, non-commercial use in connection with placing an order. You may not use any data mining, robots, or similar data gathering or extraction methods on this Site.

11. Acceptable Use

• To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

Additionally, you agree not to represent GridStream as an official Baseus or Goal Zero brand site, or to present any external official domain as this store. You also agree not to misrepresent the origin or authenticity of any product sold through our Site.

12. Service Availability and Disclaimers

We strive to keep the Site operational at all times, but we do not guarantee that the Site will be available without interruption, timely, secure, or error-free. We may suspend, withdraw, discontinue, or change all or any part of the Site without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period.

Your use of the Site, its content, and any services or items obtained through the Site is at your own risk. The Site and its content are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or availability. We do not warrant that the results that may be obtained from the use of the Site will be accurate or reliable.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such cases, such warranties are limited to the fullest extent permitted by applicable law.

13. Limitation of Liability

To the fullest extent permitted by applicable law, GridStream, BrightPath Commerce Group LLC, and their respective officers, directors, employees, agents, successors, or assigns shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Site or any products purchased through the Site.

Our total liability to you for all claims arising out of or relating to the Site or any products purchased through the Site shall not exceed the amount you paid for the specific product giving rise to the claim, or, if the claim relates to the Site itself, the greater of $100 or the total amount you have paid to GridStream in the six (6) months preceding the claim.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

14. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of North Carolina, in each case located in Durham County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

15. Changes to These Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them on the Site, and they apply to all access to and use of the Site and any orders placed thereafter. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. We will indicate at the top of this page the date these Terms were last revised.
